Terms and Conditions
1. Acceptance of these terms
These Terms and Conditions (the "Terms") govern your use of the website at fthenterprise.com, its inquiry form, the savings calculator, and the SMS messaging program described in section 10 (together, the "Site"). By using the Site, submitting an inquiry, or texting our messaging number, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
If you use the Site on behalf of a business, you confirm that you are authorised to accept these Terms for that business, and "you" includes that business.
2. Definitions
- Inquiry: a message you send us through the Site's form, by email, or by text.
- Proposal: a written description of work, price, and timeline that we may send you after an Inquiry.
- Engagement Agreement: the written agreement you and FTH Enterprise sign (or accept in writing) for a specific project or service.
- Content: all text, graphics, logos, images, code, and other material on the Site.
- Messaging Program: the SMS notifications described in section 10.
3. Using the website
The Site describes the services we offer and is provided for general information. It is not professional, legal, financial, or security advice for your particular situation. Descriptions of what we "usually build first" for an industry are examples, not commitments.
You may use the Site only for lawful purposes and in line with these Terms. You must be at least 18 years old, or the age of majority where you live, to submit an Inquiry or to use the Messaging Program.
We may change, suspend, or withdraw any part of the Site at any time without notice.
4. Inquiries, proposals, and engagements
No contract is formed by an Inquiry. Sending an Inquiry, receiving a reply, or receiving a Proposal does not commit either of us to anything. Work begins only under an Engagement Agreement.
Proposals. Unless a Proposal says otherwise, it is valid for 30 days from the date on it and may be withdrawn or revised before you accept it. Prices in a Proposal exclude taxes unless stated.
Order of precedence. If these Terms conflict with an Engagement Agreement, the Engagement Agreement governs the work it covers. These Terms continue to govern your use of the Site and the Messaging Program.
Accuracy. Please make sure the information in your Inquiry is accurate and that you have the right to share it. We rely on it to reply and to prepare a Proposal.
Our record. Inquiries are logged in our ticket system with a complete history of replies and actions for accountability. See the Privacy Policy for what is kept and for how long.
5. Savings calculator
The calculator produces an illustration based only on the numbers you enter and simple assumptions. It is not a quote, a forecast, a guarantee of savings, or advice. Actual results depend on your business, the scope we agree, and how the systems are used. We are not responsible for decisions you make based on the calculator's output.
6. Acceptable use
You agree not to:
- submit Inquiries or messages that are unlawful, fraudulent, defamatory, harassing, or misleading, or that you do not have the right to send;
- submit malware, links to harmful content, or material intended to disrupt our systems or the systems of others;
- use bots, scrapers, or automated tools to submit the form, harvest content, or probe the Site, other than search engines indexing public pages;
- attempt to gain unauthorised access to any part of the Site, the admin console, or our infrastructure, or to interfere with security features such as bot protection;
- impersonate another person or business, or misrepresent your relationship with us;
- use the Messaging Program to send anything other than messages related to your own use of our application.
We may decline, archive, or report Inquiries and block access that breaches these rules.
7. Intellectual property
The Site and its Content, including the FTH Enterprise name, logo, and "Innovate. Optimize. Elevate." tagline, are owned by Future Technology Holdings Enterprise or its licensors and are protected by copyright and trademark law. You may view and print pages for your own reference and link to the Site. You may not copy, republish, sell, or create derivative works from the Content, or use our name or logo, without our written permission.
You keep ownership of the information you send us in an Inquiry. You give us a non-exclusive licence to use it to reply, prepare a Proposal, and keep our records, as described in the Privacy Policy.
Ownership of software, designs, and documents produced under an Engagement Agreement is set out in that agreement.
8. Third-party services and links
The Site relies on third-party services, including Cloudflare (hosting, security, bot protection, and data storage), Resend (email delivery), and telecommunications carriers (SMS delivery). Those providers' own terms apply to their services. The Site may also link to other websites; we do not control them and are not responsible for their content or practices.
9. Privacy
Our Privacy Policy explains what information we collect through the Site and the Messaging Program, why, where it is stored, who can see it, and your choices. It forms part of these Terms.
10. SMS Terms and Conditions
Program. By texting this number you agree to receive operational notifications, confirmation prompts and alerts related to your own use of the application. This program is for FTH Enterprise team members and account holders only; sending the first message is how you opt in. Consent is not a condition of any purchase.
Frequency and cost. Message frequency varies. Message and data rates may apply. Check with your mobile carrier for details of your plan.
Opting out. Reply STOP to cancel at any time; you will receive one final confirmation message. After that you will receive no further messages unless you opt in again by texting the number.
Help. Reply HELP for help or contact [email protected].
Carriers. Carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier and device and is not guaranteed.
Your number. You confirm that you are the owner or authorised user of the mobile number you text from, and that you will tell us if the number changes or is reassigned. How your number is handled is described in our SMS Privacy Policy.
Supported carriers. The program is available on major U.S. carriers; availability on other carriers is not guaranteed.
11. No warranties
The Site, the Content, the calculator, and the Messaging Program are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that messages will be delivered on time or at all.
Warranties for services we perform for you, if any, are set out in the relevant Engagement Agreement.
12. Limitation of liability
To the fullest extent permitted by law, FTH Enterprise and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of or related to your use of, or inability to use, the Site or the Messaging Program, even if we have been advised of the possibility of such damages.
Our total liability for all claims relating to the Site or the Messaging Program will not exceed one hundred U.S. dollars (US $100). Liability for services performed under an Engagement Agreement is governed by that agreement.
Some jurisdictions do not allow certain exclusions or limitations; in those places our liability is limited to the smallest amount permitted by law. Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence.
13. Indemnity
You agree to indemnify and hold harmless FTH Enterprise and its owners, employees, and contractors from any claims, losses, and reasonable costs (including legal fees) arising from your breach of these Terms, your misuse of the Site or the Messaging Program, or information you submit that infringes someone else's rights.
14. Suspension and termination
We may suspend or end your access to the Site or the Messaging Program at any time, with or without notice, if we reasonably believe you have breached these Terms, if required by law, or to protect the Site, our team, or other users. You can stop using the Site at any time and can leave the Messaging Program by replying STOP. Sections 7, 11, 12, 13, 15, and 17 survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the United States and of the state in which Future Technology Holdings Enterprise is organised, without regard to conflict-of-law rules. Before starting any formal proceeding, you agree to contact us at [email protected] and to try in good faith to resolve the matter for at least 30 days. Any dispute that cannot be resolved that way will be brought in the state or federal courts located in that state, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court to protect intellectual property or confidential information.
16. Changes to these terms
We may update these Terms from time to time. The date at the top shows the current version. Material changes will be posted on this page, and where we have your contact details we may also tell you directly. Continuing to use the Site or the Messaging Program after a change means you accept the updated Terms.
17. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Site and the Messaging Program, subject to any Engagement Agreement.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- Assignment. You may not transfer your rights under these Terms. We may assign them to a successor of our business.
- Notices. Notices to us go to [email protected]. Notices to you may be sent to the email address or mobile number you gave us.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including carrier or hosting outages.
